Got it a couple months ago when it was released to devs, and upgraded Vista Business with it. Few minor changes to the UI which I absolutely hated and switched back to old ways. Other than that, it looks and acts the same as Vista. I'm fairly certain the vast majority of changes are under the hood, and from a developer point of view, I find that good, but from a consumer point of view, I couldn't care less.

If you're using XP, you should've upgraded to Vista a long time ago. Unfortunately, you waited, and now Win 7 won't let you upgrade, so you'll be doing a clean install (which is my biggest complaint). If you're using Vista, I wouldn't rush to upgrade unless you find a good deal on it. From a user perspective, it's practically the same, and I wouldn't pay $150 for it if you're running Vista. I haven't heard anything that's only coming out for 7 without also coming out for Vista (ie. Direct3D 11, Direct2D, etc.). It's actually kind of humorous because I installed Win 7 the same day Snow Leopard came out. Snow Leopard was mainly changes under the hood, and so is 7, so after wasting several hours of my life watching the installers, I had to search hard to find any changes.
